A share of the arrested asset of the pharmaceutical company was transferred to the management of its former owners

In June 2025, ARMA transferred a portion of the arrested assets of the pharmaceutical distributor LLC “Venta.LTD” to the management of LLC “I.K.Vel.” Its owners are the same co-owners of Venta.LTD who hold 73% of the company’s share capital. This is stated in an analytical report by experts from the Institute of Legislative Ideas.

Experts note that, formally, such a transfer did not violate the law; however, questions about its integrity arose even at that time. Moreover, despite the existence of a management agreement, the actual management of the asset never began.

«The management company I.K.Vel and Venta.LTD spent more than four months waiting for the AMCU’s decision on granting a concentration permit and likely received it in early October. At the same time, on the AMCU’s website, this information is marked as an application containing restricted-access materials. There is also no information about the signing of asset transfer and acceptance acts», – ILI reported.

ILI analysts believe that the situation with Venta.LTD once again confirms the existence of systemic problems in the management of arrested assets, which requires reform. Experts warn that continuing such practices may lead to a systemic failure that allows structures linked to former owners to keep the asset outside the state’s control, depriving the state budget of part of its revenues.

ILI calls for resolving the issue of the current agreement and the management company, and eliminating any schemes that block the transfer of revenues to the budget. Thus, the Venta.LTD case should put an end to the old rules of the game and become a starting point for real reform of arrested-asset management practices.

Considering that a company in which a share belongs to a legal entity associated with the aggressor state is still operating in Ukraine, analysts emphasize the need for legislative changes.

«It is necessary to clearly regulate relations with entities connected to the aggressor state and to address similar situations within the established rules», – ILI concluded.
